These Terms of Service (“Terms”) govern your access to and use of the website and services operated by Fenton Fire Equipment Inc. (“Fenton Fire,” “we,” or “us”) at www.fentonfire.com and through our online marketplace for fire apparatus and related equipment (together with any successor marketplace platform we operate, the “Site”). Fenton Fire operates a managed marketplace that connects buyers and sellers of pre-owned fire apparatus and related equipment. By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, you may not access or use the Site.
1. Acceptance of Terms
By creating an account, browsing listings, submitting an inquiry, listing apparatus for sale, or otherwise using the Site, you acknowledge that you have read, understood, and agree to these Terms and our Privacy Policy. Sellers who list equipment with us also sign our Equipment Listing Agreement, which sets out the fees and terms that apply to listings. These Terms apply to all visitors, registered users, buyers, and sellers.
You represent that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are accessing the Site on behalf of a fire department, municipality, dealer, or other organization, you represent that you have the authority to bind that organization to these Terms.
If there is a conflict between these Terms and the Equipment Listing Agreement, the Equipment Listing Agreement controls for sellers and their listings. Our Privacy Policy separately describes how we handle personal information.
2. Account Registration and Responsibilities
Certain features of the Site require registration. You agree to provide accurate, current, and complete information when creating your account and to keep that information updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
You agree to notify us immediately of any unauthorized use of your account or any other security breach. Fenton Fire is not liable for any loss or damage arising from your failure to protect your account credentials.
Providing false or misleading information, including identity or contact details, may result in immediate suspension or removal from the platform, removal of your listings, and disconnection of pending leads.
3. Listing Apparatus and Seller Obligations
Sellers may list fire apparatus and equipment for sale on the Site. You are solely responsible for the accuracy of your listings, including specifications, condition, year, make, model, photographs, and price. You represent that you have clear title or lawful authority to sell any apparatus you list and that the apparatus is free of liens or encumbrances unless clearly disclosed in the listing.
Fenton Fire is a marketplace facilitator and does not take ownership of listed apparatus. We do not independently verify every detail provided by sellers, though we may review, edit, reject, or remove any listing at our discretion. Sellers remain responsible for the safekeeping, maintenance, and delivery of their apparatus until a sale is finalized. Buyers are responsible for inspecting apparatus and conducting their own due diligence.
Sellers agree to respond to legitimate inquiries in a timely manner and to negotiate in good faith. Once a sale is pending or complete, sellers must keep their listing status current on the Site.
4. Inquiries, Leads, and Lead Handling
Buyers may submit inquiries and request location details, quotes, shipping estimates, financing calculations, or printed listing information. Fenton Fire vets and routes these leads to sellers based on each seller’s chosen lead-handling preference. Fenton Fire may, at its discretion, contact buyers on behalf of sellers or facilitate introductions between parties.
Buyers authorize Fenton Fire to share their contact information with the relevant seller when a lead is connected, and to use submitted information to facilitate the transaction. Sellers agree to use buyer contact information solely for the purpose of the related inquiry and transaction, and not for unrelated marketing or resale.
Fenton Fire does not guarantee that any inquiry will result in a sale, or that buyers and sellers will complete a transaction. We are not a party to any agreement between a buyer and a seller.
5. Broker Commissions and Sales
Fenton Fire earns a commission or brokerage fee on completed sales that originate through the Site, as set out in the Equipment Listing Agreement between Fenton Fire and the seller. The applicable commission rate is agreed with the seller at listing time and is separate from the purchase price negotiated between buyer and seller. Sales to parties introduced through the Site may still be subject to Fenton Fire’s commission if completed directly between buyer and seller (“for sale by owner”) as set out in the Equipment Listing Agreement.
Sellers agree to disclose any commission obligation to buyers where required by law and to honor agreed sale terms. Fenton Fire may assist with documentation, such as bills of sale, but the legal responsibility for the transfer of title and any applicable taxes, fees, or registrations remains with the buyer and seller.
6. Prohibited Conduct
You agree not to:
- post false, misleading, fraudulent, or infringing listings or content;
- use the Site to sell stolen, illegal, unsafe, or misrepresented apparatus or equipment;
- harvest, scrape, or collect contact information from the Site for mass unsolicited outreach;
- interfere with or disrupt the Site, its servers, or its security features;
- impersonate another person or organization, or misrepresent your affiliation;
- attempt to bypass any fees, commissions, or lead-handling processes established by Fenton Fire; or
- use automated scripts or bots to access the Site in a way that exceeds reasonable personal use.
- Public agencies. If you are a government body, nothing in these Terms requires you to act contrary to the procurement, surplus-property, or public-records laws that apply to you.
- No agency. These Terms do not create an agency, partnership, joint venture, or employment relationship between you and Fenton Fire.
- Notices. Notices to Fenton Fire should be sent to the contact information in the Contact Us section. Notices to you may be sent to the email address associated with your account.
- Assignment. You may not assign these Terms without our written consent. Fenton Fire may assign them to a successor to its business.
- Severability. If any part of these Terms is found unenforceable, the rest remains in effect.
- Entire agreement. These Terms, our Privacy Policy, and the Equipment Listing Agreement (for sellers) are the entire agreement between you and Fenton Fire regarding the Site and listings, and replace earlier discussions or versions regarding those subjects.
Violations may result in removal of listings, account suspension, disconnection of pending leads, and, where appropriate, referral to law enforcement.
7. Intellectual Property and Content You Submit
The Site, its design, branding, text, and software are owned by Fenton Fire and protected by applicable intellectual property laws. You may not copy, reproduce, or distribute Site content for commercial purposes without our written permission.
By submitting listing content, photographs, or specifications to the Site, you grant Fenton Fire a non-exclusive, royalty-free license to host, display, reproduce, and edit that content (for example, to resize or crop photographs) for the purpose of operating and promoting the marketplace. You represent that you own or have the rights to all content you submit.
If you believe content on the Site infringes your copyright or other intellectual property rights, notify us at sales@fentonfire.com with a description of the content, the rights claimed, and your contact information. We may remove content while we review a good-faith claim, and we may terminate accounts of repeat infringers.
8. Disclaimers and Limitation of Liability
The Site is provided on an “as is” and “as available” basis. Fenton Fire makes no warranties regarding the accuracy, completeness, or reliability of any listing, specification, or statement made by buyers or sellers. Apparatus is sold “as is” unless otherwise agreed in writing between buyer and seller.
Some Site tools, including free appraisal and valuation tools, use artificial intelligence and may generate AI-assisted estimates. AI-assisted estimates are informational only, are not guarantees of value or condition, are not an appraisal by a licensed appraiser, and should not be relied on as the sole basis for a purchase or sale decision.
To the fullest extent permitted by law, Fenton Fire and its officers, employees, and affiliates shall not be liable for any indirect, incidental, consequential, or special damages, including lost profits, arising from your use of the Site or from any transaction or interaction between buyers and sellers. Our total aggregate liability for any claim related to the Site is limited to the greater of (a) the amount of any commission or fee we received in connection with the listing or transaction giving rise to the claim, or (b) one hundred dollars ($100). These limits do not apply to fraud, willful misconduct, or liability that cannot be limited by law.
Buyers are strongly encouraged to inspect apparatus, request service records, and verify specifications before completing a purchase. Fenton Fire recommends independent third-party inspection services.
9. Indemnification
You agree to indemnify and hold harmless Fenton Fire and its affiliates from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) to the extent arising from your violation of these Terms, your listings or content you submit, or your dealings with other users. Fenton Fire reserves the right, at its own expense, to assume the exclusive defense of any matter for which you are required to indemnify us.
10. Term and Termination
You may close your account at any time by contacting us. We may suspend or terminate your access to the Site, with or without cause, if we reasonably believe you have violated these Terms, and we may end or suspend any account or the Site itself at our discretion where reasonably practicable, with notice where feasible.
Upon termination or suspension, your listings may be removed and pending leads disconnected. Termination does not relieve sellers of any commission already earned or otherwise owed under the Equipment Listing Agreement, and does not affect provisions of these Terms that by their nature should survive, including Sections 5, 8, 9, and 12.
11. Communications and Consent
By using the Site, you agree to receive transactional and operational communications related to your account, inquiries, listings, and the services you request. We send marketing communications and text messages only where you have opted in, and you can opt out at any time (for text messages, reply STOP). Message and data rates may apply according to your wireless plan. See our Privacy Policy for details on how we handle your contact information.
12. Governing Law
These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-law principles. You agree to submit to the exclusive jurisdiction of the state and federal courts located in the Commonwealth of Pennsylvania for any dispute arising out of or relating to these Terms or the Site.
13. Changes to These Terms
Fenton Fire may update these Terms from time to time. We will post the updated Terms on this page with a revised “Last updated” date, and, where feasible, we will notify registered users of material changes by email before they take effect. Your continued use of the Site after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you should stop using the Site.
